Advocaat-medewerker Corporate/M&A

This associate role in Lexence's successful M&A and private equity team, working in compact deal teams of two or three lawyers, advises on transaction structure and drafts and negotiates deal documentation such as SPAs and shareholders agreements.

What you will do

• Advise on transaction structure for M&A and private equity deals
• Draft and negotiate deal documentation, including Letters of Intent, Share Purchase Agreements and Shareholders Agreements
• Manage workflows with external advisors such as accountants and tax specialists
• Mentor junior trainee lawyers within the team

• Adviseren over de structuur van M&A en private equity transacties
• Dealdocumentatie opstellen en onderhandelen, waaronder intentieverklaringen, koopovereenkomsten en aandeelhoudersovereenkomsten
• Afstemmen met externe adviseurs zoals accountants en fiscalisten
• Junior advocaat-stagiaires binnen het team begeleiden

What we are looking for

• 3 to 6 years of experience practicing M&A law
• Excellent command of Dutch and English
• Strong client relationship and negotiation abilities
• A direct, results-oriented process management style

• 3 tot 6 jaar ervaring in de M&A-praktijk
• Uitstekende beheersing van het Nederlands en Engels
• Sterke vaardigheden in clientcontact en onderhandelen
• Een directe, resultaatgerichte manier van procesbegeleiding
